Terms of Service

1. Acceptance of Terms

By accessing or using the Otnox platform (“Service”) operated by SIA «Vietne» (registration number: 40103048838, registered address: Ozolciema iela 46 k-5 - 35, Rīga, LV-1058, Latvia), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you (“User”) and SIA «Vietne» (“Company”, “we”, “us”).

2. Eligibility and Registration

You must be at least 18 years of age to create an account and use Otnox. By registering, you represent that you are of legal age and have the authority to enter into these Terms. If you are registering on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at [email protected] if you suspect unauthorized access to your account.

3. Service Description

Otnox is a software-as-a-service (SaaS) procurement analytics platform that aggregates publicly available tender data from government procurement portals across multiple countries, and provides search, monitoring, analytics, and pipeline management tools to help users identify and track procurement opportunities.

4. Subscriptions and Payments

Otnox offers both free and paid subscription tiers. Free-tier users have access to limited features and data as described on our pricing page. Paid subscriptions unlock additional features, higher usage limits, and priority support.

• Billing — all payments are processed through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis (monthly or annually, depending on the plan selected).
• Price changes — we may adjust pricing with at least 30 days’ advance notice. Changes apply at the start of your next billing cycle.
• Refunds — subscription fees are non-refundable except where required by applicable law. If you cancel during a billing period, you retain access until the end of that period.
• Free trial — if offered, the trial period and conditions will be specified at sign-up. We may charge your payment method at the end of the trial unless you cancel before the trial expires.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Attempt to reverse-engineer, decompile, or disassemble any part of the Service.
• Scrape, crawl, or use automated means to access the Service beyond the APIs and interfaces we provide.
• Resell, sublicense, or redistribute access to the Service or its data without our written consent.
• Interfere with the security, integrity, or performance of the Service or its infrastructure.
• Impersonate another person or entity, or misrepresent your affiliation with any person or entity.
• Upload or transmit malicious code, viruses, or other harmful material.

We reserve the right to suspend or terminate your account if we determine, at our sole discretion, that you have violated these terms.

5a. AI Assistant Connector

Otnox provides an optional connector (MCP server) that lets you use the Service from AI assistants such as Anthropic Claude and OpenAI ChatGPT. The connector is part of the Service and subject to these terms, with the following specifics:

• Access through the connector is personal, read-only, and limited to the markets and features included in your subscription plan.
• Requests are rate-limited; certain features (such as opportunity qualification) consume AI credits from your account balance at the rates shown in the product.
• You may not use the connector to bulk-export, scrape, or systematically redistribute Service data, whether directly or through an AI assistant.
• You are responsible for the assistant account you connect and can revoke the connection at any time from the assistant’s settings.

6. Intellectual Property

The Otnox platform, including its design, software, algorithms, branding, and documentation, is the intellectual property of SIA «Vietne» and is protected by copyright, trademark, and other applicable laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your subscription period.

Public procurement data aggregated by the platform originates from government sources and remains subject to the terms and licenses of the respective data providers. We do not claim ownership of underlying government data.

7. Data Accuracy Disclaimer

Otnox aggregates tender data from publicly available government procurement portals. While we strive to provide accurate and up-to-date information, we do not guarantee the completeness, accuracy, or timeliness of any data displayed on the platform. Procurement data may contain errors originating from the source portals, or may become outdated due to delays in synchronization.

You should always verify critical information directly with the relevant procurement authority before making business decisions. Otnox is a research and analytics tool, not a substitute for official procurement portals.

8. Limitation of Liability

To the maximum extent permitted by applicable law, SIA «Vietne» shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising from or related to your use of the Service.

Our total aggregate liability for any claim arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide at least 30 days’ prior notice by email or through an in-app notification. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

If you do not agree to the revised Terms, you must stop using the Service and close your account before the effective date.

10. Termination

You may terminate your account at any time through the account settings or by contacting us at [email protected]. Upon termination:

• Your right to access the Service ceases immediately (or at the end of the current billing period for paid plans).
• We will delete your personal data within 30 days, subject to legal retention requirements.
• Any data you have entered (e.g., pipeline stages, notes) will be permanently deleted and cannot be recovered.

We may suspend or terminate your account immediately, without prior notice, if you breach these Terms, engage in fraudulent activity, or if required by law.

11. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Republic of Latvia, without regard to its conflict-of-law provisions.

Any disputes arising from or in connection with these Terms or the Service shall be submitted to the exclusive jurisdiction of the courts of Riga, Republic of Latvia. Before initiating legal proceedings, the parties agree to attempt to resolve disputes amicably within 30 days of written notice.

12. Miscellaneous

• Severability — if any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
• Entire agreement — these Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and us regarding the Service.
• No waiver — failure to enforce any provision does not constitute a waiver of that provision.
• Assignment — you may not assign your rights under these Terms without our written consent. We may assign our rights and obligations without restriction.
